These Terms of Service ("Terms") govern your access to and use of InboxRoute ("InboxRoute," "we," "us," or "our"), including our website, services, software, automations, integrations, and related tools or communications (collectively, the "Service").

By accessing, purchasing, or using the Service, you ("Customer," "you," or "your") agree to be legally bound by these Terms. If you do not agree, you must not access or use the Service.

1. Description of Service

InboxRoute provides automated inbound messaging and lead-routing services for social media platforms, including but not limited to:

  • Instagram Direct Messages
  • Facebook Page Messenger

The Service may include:

  • Automated responses to inbound messages
  • Handling of frequently asked questions
  • Lead qualification and data capture
  • Routing of conversations to booking links, forms, or human operators
  • Ongoing configuration, optimization, or monitoring depending on plan

InboxRoute does not guarantee outcomes, results, performance, revenue, leads, bookings, or business success.

2. Eligibility & Authority

You represent and warrant that:

  • You are at least 18 years old
  • You have full authority to bind the business you represent
  • You own or are authorized to control the connected social media accounts

You are solely responsible for ensuring your use of the Service complies with all applicable laws, regulations, and platform rules.

3. Third-Party Platforms & Meta Disclaimer

InboxRoute integrates with third-party platforms, including Meta Platforms, Inc. (Instagram and Facebook).

You acknowledge and agree that:

  • InboxRoute is not affiliated with, endorsed by, or partnered with Meta
  • Platform rules, APIs, enforcement actions, outages, or policy changes are entirely outside of InboxRoute's control
  • Any restriction, suspension, limitation, or termination imposed by a third-party platform does not constitute a breach by InboxRoute

InboxRoute is not responsible for:

  • Account bans, throttling, or shadow restrictions
  • Platform outages or API changes
  • Enforcement actions related to your business, content, or messaging behavior

4. Customer Responsibilities

You agree that you are solely responsible for:

  • The content of all messages sent on your behalf
  • The legality, accuracy, and compliance of all communications
  • Obtaining all required customer consents
  • How leads are handled after delivery

You agree not to use the Service for:

  • Spam or unsolicited outbound messaging
  • Harassment, fraud, or deceptive practices
  • Any activity prohibited by platform rules or law

InboxRoute acts solely as a technical service provider and does not control or direct your business decisions.

5. No Business, Marketing, or Legal Advice

InboxRoute does not provide business, marketing, financial, or legal advice.

Any recommendations, automated responses, message flows, or routing logic:

  • Are provided for general informational purposes only
  • Do not constitute professional advice
  • Are used entirely at your own discretion and risk

You acknowledge that all business decisions made using the Service are your responsibility.

6. No Guarantees & Assumption of Risk

InboxRoute makes no representations or warranties regarding:

  • Lead volume
  • Conversion rates
  • Revenue or bookings
  • Message accuracy or customer behavior

You expressly acknowledge and agree that:

  • Automation and AI systems are inherently probabilistic and imperfect
  • Results vary based on market conditions, pricing, customer behavior, and platform algorithms
  • Use of the Service involves inherent risk

You voluntarily assume all risks associated with use of the Service.

7. Subscription, Billing & Payments

7(a). Subscription Authorization

By subscribing, you authorize InboxRoute to charge your selected payment method on a recurring basis until canceled.

7(b). No Refunds

All payments are final and non-refundable, including setup fees, subscription fees, partial billing periods, and unused time. No refunds will be issued for dissatisfaction, lack of results, platform changes, or early termination.

7(c). Chargebacks

Unauthorized chargebacks constitute a material breach of these Terms and may result in immediate termination, permanent account suspension, and collection efforts and dispute evidence submission.

8. Cancellation & Termination

You may cancel your subscription at any time. Cancellation stops future billing only and does not trigger refunds.

InboxRoute may suspend or terminate access immediately if these Terms are violated, payment fails, or the Service is used unlawfully or abusively.

9. Intellectual Property

All Service components — including software, workflows, logic, designs, and documentation — are the exclusive property of InboxRoute.

You may not:

  • Copy, reverse engineer, resell, or sublicense the Service
  • Use InboxRoute branding without permission

You retain ownership of your business data.

10. Data & Privacy

InboxRoute processes data solely to provide the Service. You acknowledge that you are responsible for privacy compliance and consent. InboxRoute does not sell customer data. Data usage is governed by our Privacy Policy.

InboxRoute is not responsible for how you store, use, or secure lead data after delivery.

11. Force Majeure

InboxRoute shall not be liable for any failure or delay caused by events beyond reasonable control, including but not limited to platform outages, API changes, internet failures, government actions, natural disasters, or labor disputes.

12. Limitation of Liability

To the maximum extent permitted by law, InboxRoute shall not be liable for indirect, incidental, consequential, or punitive damages. InboxRoute's total liability shall not exceed the amount paid by you to InboxRoute in the 30 days preceding the claim.

This limitation applies regardless of legal theory.

13. Indemnification

You agree to indemnify, defend, and hold harmless InboxRoute from all claims, losses, damages, and expenses arising from:

  • Your use of the Service
  • Your messaging content
  • Your business practices
  • Violations of law or platform rules

14. Arbitration & Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved exclusively through binding arbitration, not in court.

You waive:

  • The right to a jury trial
  • The right to participate in class actions

Arbitration shall be conducted on an individual basis under applicable arbitration rules.

15. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.

16. Modifications

InboxRoute may update these Terms at any time. Continued use constitutes acceptance of updated Terms.

17. Entire Agreement

These Terms constitute the entire agreement between you and InboxRoute and supersede all prior communications.
